Terms & Conditions

These general terms should be read together with any project-specific quotation, proposal or signed service agreement.

1. Introduction

Welcome to Yas Media Company (“Yas Media”, “we”, “our” or “us”).

These Terms & Conditions govern your access to and use of our website and the general terms under which our digital marketing, creative, technology and related services may be offered.

By accessing our website, submitting an enquiry or engaging our services, you agree to the terms applicable to your interaction with us.

Where a separate proposal, quotation, statement of work or signed service agreement applies to a project, that document will govern the project-specific scope, fees, timelines and other agreed terms. In the event of a conflict, the signed agreement will take precedence over these general Terms & Conditions to the extent of that conflict.

2. About Our Services

Our services may include:

  • Meta Ads Management and digital advertising.
  • Social media management and account support.

  • Influencer discovery, coordination and campaign management.
  • Other creative, digital and technology services agreed in writing.

The availability of each service depends on the agreed project scope, resources, technical requirements and commercial terms.

3. Enquiries, Proposals and Service Agreements

An enquiry submitted through our website does not automatically establish a client relationship or guarantee that we will accept a project.

Before work begins, the parties should agree in writing on the relevant scope of work, deliverables, fees, payment schedule, timelines, revision limits and any project-specific conditions.

A quotation or proposal may have a stated validity period. If no validity period is specified, Yas Media may confirm or revise the quotation before accepting the project.

Any additional work, change in requirements or deliverable outside the agreed scope may require a revised quotation, timeline or written approval.

4. Fees and Payments

Service fees, taxes, payment milestones and any applicable expenses will be specified in the relevant quotation, invoice or service agreement.

  • Unless otherwise agreed in writing, work will commence after the required advance payment and receipt of necessary materials, information and access.
  • Invoices must be paid within the payment period specified on the invoice.
  • Third-party costs, including advertising spend, influencer fees, paid software, stock assets, hosting, domains and platform subscriptions, are separate from Yas Media’s professional fees unless expressly included in the quotation.
  • Additional work outside the agreed scope may be charged separately after approval.
  • Applicable taxes will be charged as required by law.

If payment is overdue, Yas Media may provide written notice and, where permitted under the agreement and applicable law, pause work or withhold further deliverables until the outstanding amount is resolved.

Any late-payment charges must be expressly agreed in writing and comply with applicable law.

5. Client Responsibilities

Clients agree to:

  • Provide accurate information, brand materials, project requirements and feedback.
  • Ensure that all supplied content, photographs, videos, logos, music, trademarks and other materials may lawfully be used for the intended purpose.
  • Provide timely approvals and decisions.
  • Grant only the account permissions and access reasonably necessary for the agreed services.
  • Ensure that advertising claims, offers, products and services promoted on their behalf are lawful and substantiated.
  • Obtain permissions, releases or consents required for people, locations, testimonials or third-party materials supplied by them.
  • Make payments according to the agreed schedule.
  • Maintain responsibility for their business operations, product quality, customer service, pricing and fulfilment.

Delays in providing materials, access, approvals or payments may affect project timelines and delivery dates.

6. Digital Marketing and Advertising Disclaimer

Yas Media may plan, create, manage and optimise advertising campaigns across platforms such as Meta, Instagram, Google, YouTube, LinkedIn and other relevant channels.

Advertising performance depends on factors outside our control, including platform algorithms, auction competition, audience behaviour, market conditions, budget, product quality, pricing, landing-page performance and client responsiveness.

Yas Media does not guarantee any specific number of leads, sales, followers, views, impressions, reach, conversions, revenue or return on advertising spend unless a specific written agreement expressly states otherwise.

Advertising budgets paid to third-party platforms are separate from agency service fees unless otherwise agreed.

Platforms may reject, restrict, suspend or modify advertisements, accounts or features under their own policies. Yas Media is not responsible for platform decisions outside its reasonable control, but will provide agreed support where applicable.

7. Social Media, Content and Creative Production

Content calendars, captions, scripts, designs, photographs, videos, reels and other creative deliverables will be provided according to the agreed scope.

Unless expressly included in the service agreement:

  • Additional revisions, reshoots, new concepts and major changes to approved work may incur additional charges.
  • Client-requested changes after approval may affect delivery dates.
  • Raw footage, source files, editable project files and working files are not included unless specifically agreed.
  • Content publication depends on timely client approvals and platform availability.
  • Music, stock footage, fonts and other licensed assets may be subject to separate usage restrictions.

The client is responsible for reviewing and approving factual claims, prices, offers, product information and other business-specific statements before publication.

8. Website, Application, CRM and System Development

For development projects, the agreed proposal or statement of work should specify the required features, integrations, deliverables, testing process, handover requirements and any support or maintenance arrangements.

Unless included in writing, the following may be charged separately:

  • Domain registration and renewal.
  • Hosting and server costs.
  • Paid themes, plugins, APIs, software licences and third-party subscriptions.
  • Ongoing maintenance, security monitoring and future enhancements.
  • Additional integrations or features requested after scope approval.

Third-party software, platforms, APIs and hosting providers may change their features, pricing, availability or policies. Yas Media cannot guarantee uninterrupted availability of services controlled by third parties.

Clients are responsible for reviewing the functionality of delivered systems, providing accurate requirements and maintaining appropriate access controls for their users.

Any warranty, defect-correction period, service-level commitment or ongoing support obligation must be stated in the relevant project agreement.

9. Influencer Management

Influencer services may include creator research, outreach, campaign planning, coordination, content approvals and reporting, depending on the agreed scope.

Unless expressly guaranteed in a signed agreement, Yas Media does not guarantee an influencer’s reach, engagement, follower growth, sales, audience response or campaign outcome.

Influencer availability, pricing, deliverables and publication schedules are subject to separate confirmation. Third-party creator fees, usage rights, paid amplification, exclusivity and extended content licensing should be agreed in writing.

Clients must disclose any material information and advertising claims necessary for lawful campaign execution. Sponsored content must comply with applicable advertising disclosure requirements and relevant platform policies.

10. Intellectual Property and Ownership

Each party retains ownership of intellectual property it owned before a project began.

The client retains ownership of materials it supplies, subject to any third-party rights and licence restrictions.

Ownership and permitted use of final deliverables will be governed by the relevant proposal or service agreement.

Unless otherwise agreed in writing, transfer of ownership or delivery of final approved assets may be conditional on full payment of all amounts due for the relevant work.

Yas Media may retain ownership of its pre-existing templates, methods, tools, reusable components, workflows, know-how and internal processes, even when used in a client project.

Third-party fonts, stock assets, software, plugins, music and other licensed materials remain subject to their respective licence terms.

Raw files, editable files and unused concepts are not automatically included in the transfer of final deliverables.

11. Portfolio and Publicity

Yas Media may request permission to showcase completed work in its portfolio, website, social media accounts, presentations or case studies.

Where the client has not authorised public use, Yas Media will not intentionally publish confidential client materials or identify the client in promotional content without an appropriate lawful basis.

Any agreed confidentiality restrictions or written project-specific publicity terms will take precedence.

12. Confidentiality

Both parties should take reasonable steps to protect non-public business information received during a project and use it only for the purposes for which it was shared.

Confidentiality obligations do not ordinarily apply to information that is already public through no breach, was lawfully known before disclosure, is independently developed, or must be disclosed under applicable law.

Where a project requires additional confidentiality protections, the parties may enter into a separate non-disclosure agreement.

13. Third-Party Services and External Links

Our services and website may rely on or link to third-party platforms, software, hosting providers, advertising networks, payment services and other external providers.

Yas Media does not control those providers and is not responsible for their independent terms, privacy practices, outages, policy changes or decisions.

Clients remain subject to the applicable third-party terms when using those services.

14. Cancellation, Suspension and Termination

Either party may terminate a project in accordance with the relevant signed agreement.

If no project-specific termination clause exists, either party may provide written notice requesting termination and the parties should agree on an orderly close-out.

Subject to the agreement and applicable law:

  • The client remains responsible for fees for work completed up to the effective termination date.
  • Approved third-party costs and non-cancellable commitments incurred for the project may remain payable.
  • Any refund of advance payments will be determined by the applicable agreement, work performed, committed expenses and applicable law.
  • Yas Media may suspend services after written notice where payment is overdue, required access is withdrawn, the client materially breaches the agreement or continuing the work would create a legal or security risk.

Nothing in this section excludes any refund, remedy or other right that cannot lawfully be excluded.

15. Warranties and Disclaimer

We will use reasonable professional care in providing the services described in the agreed scope.

Except for commitments expressly stated in a signed agreement or rights that cannot be excluded under applicable law, the website and general service descriptions are provided without a guarantee that they will be uninterrupted, error-free or suitable for every purpose.

Any project-specific warranty, acceptance criteria or defect-resolution commitment must be recorded in the relevant agreement.

16. Limitation of Liability

To the extent permitted by applicable law, Yas Media will not be responsible for indirect or consequential losses, loss of anticipated profits, loss of business opportunities or losses caused by third-party platform decisions or outages beyond our reasonable control.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud or wilful misconduct where applicable.

Any agreed monetary cap on liability, exclusions or indemnity obligations should be stated expressly in the relevant service agreement and reviewed for enforceability under applicable law.

17. Indemnity

To the extent permitted by law and subject to the relevant service agreement, a client may be responsible for third-party claims arising from materials or instructions supplied by the client, unlawful advertising claims authorised by the client, or the client’s breach of applicable law or third-party rights.

This provision does not make a client responsible for claims caused by Yas Media’s own breach, negligence or unlawful conduct to the extent such responsibility cannot lawfully be transferred.

18. Privacy and Personal Information

Our collection and use of personal information are described in our Privacy Policy.

Clients who provide personal information, customer lists, CRM records, photographs, videos or other personal data must ensure that they have the necessary lawful authority and permissions to share that information and authorise the intended processing.

Where a project involves personal data processing on behalf of a client, the parties should document their respective responsibilities and any required data-processing safeguards.

19. Changes to These Terms

Yas Media may update these Terms & Conditions to reflect changes in its services, website, business practices or legal requirements.

The updated terms will be published on this page with a revised “Last Updated” date. Changes to an existing project agreement will be governed by that agreement and any applicable legal requirements.

20. Governing Law and Disputes

These Terms & Conditions are governed by the laws of India.

The parties should first attempt to resolve disputes through good-faith discussions. If a dispute cannot be resolved, it may be referred to the competent courts having jurisdiction at the competent courts of your jurisdiction, subject to applicable law and any valid dispute-resolution agreement.

Nothing in this clause removes any mandatory consumer rights or other protections available under applicable law.
